Helpline Agreement

This helpline services agreement (“Agreement”) is made at Bangalore on the date of purchase and will be effective from the date of purchase.

By availing the Helpline Services (defined below) of 1to1help.net private limited (hereinafter referred to as ‘1to1help.net’), Buyer or any other party acting on their behalf, (hereinafter referred to as ‘Company’), agree to be bound by the terms and conditions set out hereinbelow.

Scope of Work

  1. It is agreed that 1to1help.net will offer a helpline to offer counselling services to the employees of the Company who suffer from stress, anxiety, fear, and isolation created by COVID-19-related issues like social distancing, work from home, etc. Such counselling support will be available through a toll-free helpline number. Users can call the toll-free number and provide the access code given to them to start the session.
  2. Users can access the website of 1to1help.net by registering on it using their company email id & access code. This on-site registration is not transferable. The User is responsible for maintaining the confidentiality of usernames and password. The login credentials shall not be shared by 1to1help.net with anyone other than the User.
  3. The toll-free number would be available from 9 am to 8 pm on all working days.

Confidentiality & Privacy

1to1help.net will ensure that confidentiality is maintained by it and all its personnel with regard to all the information provided by the Users for counselling. This information will not be divulged by it or its employees to the Company or to any third party, except if such information is already in the public domain or its release is sought upon the request of the User, or in pursuance to any court order or litigation or any government order or in event of Homicidal / Suicidal cases.

Total Fees & Charges

In consideration for the services provided by 1to1help.net to its employees, the Company shall pay 1to1help.net Availing fees of based on the price for the service selected on 1to1help.net’s online store with a validity based on the period selected. This includes the Telephonic support fee for the number of counselling sessions mentioned in the package.

These calls are non-transferrable and won’t be available for redemption once the validity period is over.

All fees mentioned above are exclusive of taxes. Taxes will be charged additionally as applicable.

Payment has to be made in advance. The effective date is subject to realization of payment.

Representations and Disclaimers of 1to1help.net

  1. 1to1help.net specifically states that the counselling service provided by it is only for stress, anxiety, fear and isolation created by COVID-19-related issues like social distancing, work from home, etc. and is not specifically intended for crises like suicide, abuse, psychiatric emergencies etc., however, 1to1help will provide support through risk assessment and referral for the same.
  2. This helpline is not meant for addressing medical or other physical health-related queries regarding COVID-19.
  3. The Company shall make its employees aware that by accessing and using the service of 1to1help.net and any information offered on their website, the User signifies his/her complete acceptance of the terms and conditions given on the website. Notification about the acceptance of the terms and conditions shall be sent to the Users by 1to1help.net.
  4. 1to1help.net undertakes to provide the best possible professional help to the Users. However, given the nature of the service, it is not possible to guarantee a perfect solution to any problem of the Users and it shall not be liable for any damage, loss or liability caused to the Users on account of its services.
  5. The Company and 1to1help shall not be liable or held responsible for any actions taken by the Users for or against the Company or 1to1Help following the provision of the Service to such Users. In no event shall 1to1Help be liable to the Company or any third party for any direct or indirect loss or damage, loss of profit, costs or economic loss arising as a result of any action taken by the Users against the Company or any other party, which has not been occasioned by 1to1Help’s demonstrable negligence or deficient provision of the Services.
  6. 1to1help.net reserves the right not to reply to deliberately offensive queries or those unrelated to the service offered. This judgment shall be based on reasonable grounds, 1to1help.net shall explain the reasoning to the Company, if requested.

Term

This Agreement shall be deemed to have commenced from Effective Date and shall be in force for a period until the effective validity of the package purchased on the Effective Date.

Force Majeure

Neither of the parties shall be held responsible for any delay or failure in performance hereunder caused by fire, strikes, lockouts, requirements imposed by governmental, civil or military authorities, acts of God or by a public enemy or other similar causes beyond such party’s reasonable control without fault or negligence.

Dispute Resolution & Governing Law

This Agreement shall be governed and construed in accordance with Indian law. In the event of a dispute, the parties shall endeavor to resolve the dispute by amicable discussions. Should this fail, either party may seek appropriate relief before a competent court of law within the jurisdiction of Bangalore.
